This End User License Agreement ("EULA") governs the ReadyMaxer desktop applications for macOS and Windows, and any ReadyMaxer app you obtain directly from us rather than through an app store (the "Software"), provided by SmileMaxer LLC, a Maryland limited liability company. Apps obtained from the Apple App Store or Google Play are licensed under the Terms of Service and the store's own terms.
By installing or using the Software, you agree to this EULA and to the Terms of Service, which are incorporated by reference. If you do not agree, do not install the Software.
SmileMaxer grants you a personal, non-exclusive, non-transferable, revocable license to install and run the Software on devices you own or control, solely to use the ReadyMaxer service under an active practice account. This is a license, not a sale.
You may not copy (except for reasonable backup), modify, distribute, sell, rent, sublicense, or create derivative works of the Software; reverse engineer, decompile, or disassemble it except where the law expressly permits it despite this limitation; remove proprietary notices; or use it to build a competing product.
The Software may check for and install updates. Updates may add, change, or remove features and are covered by this EULA unless they come with their own terms.
The Software is a client for the ReadyMaxer service. Your use of the service, including the zero-patient-information rule and the prohibition on emergency use, is governed by the Terms of Service, and data handling is described in the Privacy Policy.
This EULA is effective until terminated. It terminates automatically if you breach it, if your practice's account ends, or if we withdraw the Software with reasonable notice. On termination, uninstall the Software.
The warranty disclaimers, the no-emergency-use acknowledgment, and the limitations of liability in Sections 14 and 15 of the Terms of Service apply to the Software and are incorporated here.
You must comply with US export control and sanctions laws. The Software is "commercial computer software" and, if acquired by or for the US government, is provided with only the rights granted to all other users under this EULA.
This EULA is governed by the laws of the State of Maryland, USA, and disputes are handled as described in the Terms of Service.
